LAMA ENERGY GROUP s.r.o. (LAMA), a Czech privately owned investment group engaged primarily in the exploration, production and sale of oil & gas and production and sale of utilities, has acquired DIGI Czech Republic s.r.o. (DIGI CZ) from RCS & RDS S.A. (RCS&RDS), a major telecommunication operator in South-Eastern Europe head-quartered in Romania.  DIGI CZ is a leading Czech direct-to-home (DTH) operator. The transaction was completed on 21th April, 2015. The parties have agreed not to disclose the transaction value.

Vladimir Rusnak, Business Development Manager of DIGI CZ acquisition project, who has also been responsible for the business and operational work streams of this acquisition on behalf of the buyer, said: "The acquisition of DIGI CZ fits into LAMA’s long-term plan of developing a broad Czech retail customer base for a bundled offering of electricity, gas and mobile services which will now be complemented with satellite TV services. LAMA’s strategic plan for DIGI CZ includes improvement of quality of services (both by enhancing the TV signal quality and broadening of the existing program offering) together with introduction of new advanced features such as hybrid set-top boxes and CAM modules with recording ability or OTT technology enabling viewers to experience not only the classic TV signal but also TV broadcasting on mobile devices. DIGI CZ services will be offered in advantageous packages to existing LAMA’s customers in retail sale of gas and electricity, and mobile services.”

Serghei Bulgac, the Vice President of Corporate Finance of RCS&RDS, commented: “We congratulate LAMA on the conclusion of the transaction. We hope that DIGI CZ will fit well in LAMA’s strategic telecom portfolio. We also wish them a successful continuation of the DIGI CZ operations in the Czech Republic.”

LAMA was supported in this transaction by the following advisors: UniCredit (M&A), CMS (legal) and Asteon (business). Senior acquisition debt was provided by Commerzbank AG, Prague branch. RCS&RDS was advised by the PeliFilip SCA and PRK Partners law firms.


DIGI CZ is leading Czech operator of satellite TV broadcasting. DIGI CZ currently provides a basic programming package which includes the exclusive live broadcasts of English Premier League and Italian Serie A football matches as well as exclusive events such as WTA women tennis tournaments, mostly in HD resolution. It additionally offers a complete Filmbox movie package.
